Terms of Service
Thank you for using the Careervid platform, products, services and features we make available to you (collectively, the “Service”).

These are the Terms of Use (“Terms”) under which all jobseekers, employers or other users (“you”) may use Careervid. These Terms include the Careervid Privacy Policy, which is incorporated into these Terms by reference.
If you do not accept the Terms stated here, do not use Careervid and Careervid Services.
Careervid is defined as any Web sites under Careervid’s control, whether partial or otherwise (including, without limitation, Careervid.com, and the Web site from which these terms of use were accessed from). The Service allows registered candidates to create and store video interviews and resumes and be able to send to potential employers. Employers can view candidate video profiles and resumes, and arrange interviews using our service.

Careervid may revise these Terms at any time by posting an updated version to this URL. Users who violate these Terms may have their access and use of Careervid suspended or terminated, at Careervid’s discretion.

The entity providing the Service is Careervid, a company operating under the laws of Massachusetts, located at 11 Apex Drive, Suite 300A #118, Marlborough, MA 01752, USA (referred to as “Careervid”, “we”, “us”, or “our”).
​
You must be 13 years of age or older to visit or use Careervid in any manner. If you are under 18, you represent that you have your parent or guardian’s permission to use the Service. If you are a parent or legal guardian of a user under the age of 18, by allowing your child to use the Service, you are subject to the terms of this Agreement and responsible for your child’s activity on the Service.
Your Content and Conduct

Uploading & Use of Content
​
If you create a Careervid profile, you are able to upload your personal video profile and resume to the Service to promote you, your career history and skills. If you choose to upload Content, you must not submit any Content that does not comply with this Agreement or the law. For example, the Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so. You are legally responsible for the Content you submit to the Service.

The contents of Careervid, such as designs, text, graphics, images, video, information, logos, button icons, software, audio files and other Careervid content, are protected under copyright, trademark and other laws. All Careervid content is the property of Careervid or its licensors.

Any code that Careervid creates to generate or display content or the pages making up Careervid is also protected by Careervid's copyright and you may not copy or adapt such code.
​
You agree not to sell or modify Careervid content or reproduce, display, publicly perform, distribute, or otherwise use Careervid content in any way for any public or commercial purpose, in connection with products or services that are not those of Careervid.
User Content, Rights you Grant & License to Careervid/Other Users

You understand that all information, data, text, software, music, sound, photographs, graphics, video, advertisements, messages or other materials submitted, posted or displayed by you on or through Careervid ("User Content") is the sole responsibility of the person from which such User Content originated. You retain ownership rights to your User Content. Careervid claims no ownership or control over any User Content. However, we do require you to grant certain rights to Careervid and other users of the Service, as described below.

By providing User Content to the Service, you grant to Careervid a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use that User Content (including to reproduce, distribute, prepare derivative works, display and perform it) in connection with the Service and Careervid’s (and its successors and affiliates) business, including for the purpose of promoting and redistributing part or all of the Service. You also grant each other user of the Service a worldwide, non-exclusive, royalty-free license to access your User Content through the Service, and to use that User Content, including to reproduce, distribute, prepare derivative works, display, and perform it, only as enabled by a feature of the Service (such as video playback). This license does not grant any rights or permissions for a user to make use of your User Content independent of the Service. The licenses granted by you continue for a commercially reasonable period of time after you remove or delete your user content from the Service. You understand and agree, however, that Careervid may retain, but not display, distribute, or perform, server copies of your videos that have been removed or deleted.

Careervid reserves the right to refuse to accept, post, display or transmit any User Content in its sole discretion. Careervid may review and remove any User Content that, in its sole judgment, violates these Terms, violates applicable laws, rules or regulations, is abusive, disruptive, offensive or illegal, or violates the rights of, or harms or threatens the safety of users of Careervid. Careervid reserves the right to expel users and prevent their further access to Careervid and/or use of Careervid Services for violating the Terms or applicable laws, rules or regulations. Careervid may take any action with respect to User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for Careervid, damage Careervid’s brand or public image, or cause Careervid to lose Users or (in whole or in part) the services of its ISPs or other suppliers.
You also represent and warrant that you have the right to grant, or that the holder of any rights, including moral rights in such content has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant, the license stated above. If you post User Content in any public area of Careervid, you also permit any User to access, display, view, store and reproduce such User Content for personal use. Subject to the foregoing, the owner of such User Content placed on Careervid retains any and all rights that may exist in such User Content.

Careervid does not represent or guarantee the truthfulness, accuracy, or reliability of User Content, derivative works from User Content, or any other communications posted by Users nor does Careervid endorse any opinions expressed by Users. You acknowledge that any reliance on material posted by other Users will be at your own risk.
Removing Content

You may remove your Content from the Service at any time. You must remove your Content if you no longer have the rights required by these terms. If we reasonably believe that any Content is in breach of this Agreement or may cause harm to Careervid, our users, or third parties, we may remove or take down that Content in our discretion.

Copyright Protection
​
If you believe your copyright has been infringed on the Service, please notify us.
Use of Services
The video profiles, adverts, resumes, and other features of Careervid may be used only by individuals seeking employment and/or employers seeking employees.
​
You are responsible for maintaining the confidentiality of your account, profile and passwords, as applicable. You may not share your password or other account access information with any other party, temporarily or permanently, and you shall be responsible for all uses of your Careervid registrations and passwords, whether or not authorized by you. You agree to immediately notify Careervid of any unauthorized use of your account, profile, or passwords.

You acknowledge and agree that you are solely responsible for the content and accuracy material placed by you on Careervid.
Using the Service does not give you ownership of or rights to any aspect of the Service, including usernames or any other content posted by others or Careervid.

All Users agree not to:

Transmit, post, distribute, store or destroy material, including without limitation Careervid content, in violation of any applicable law or regulation, including but not limited to laws or regulations governing the collection, processing, or transfer of personal information, or in breach of Careervid’s privacy policy; use any data mining, robots or similar data gathering or extraction methods; violate or attempt to violate the security of Careervid; forge any part of the header information in any e-mail or newsgroup posting; reverse engineer or decompile any parts of Careervid; frame or link to Careervid content or information available from Careervid; post any content or material that promotes or endorses false or misleading information or illegal activities or other activities prohibited by these Terms; post any resume or video profile or apply for any job on behalf of another party; share with a third party any login credentials to Careervid; access data not intended for you or logging into a server or account which you are not authorized to access; post or submit to any incomplete, false or inaccurate information or information which is not your own; post content that contains restricted or password-only access pages, or hidden pages or images; solicit passwords or personally identifiable information from other Users; delete or alter any material posted by any other person or entity; harass, incite harassment or advocate harassment of any group, company, or individual; attempt to interfere with service to any User, host or network, via means of submitting a virus; promote or endorse an illegal or unauthorized copy of another person's copyrighted work; or use Careervid for any unlawful purpose or any illegal activity, or post or submit any content, resume, or job ad that is defamatory, libelous, implicitly or explicitly offensive, vulgar, obscene, threatening, abusive, hateful, racist, discriminatory, of a menacing character or likely to cause annoyance, inconvenience, embarrassment, anxiety or could cause harassment to any person or include any links to pornographic, indecent or sexually explicit material of any kind, as determined by Careervid’s discretion.

Violations of system or network security may result in civil and/or criminal liability. Careervid will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.

Additional terms for Jobseekers
​
You understand and acknowledge that you have no ownership rights in your account and that if you cancel your Careervid account or your Careervid account is terminated, all your account information including videos, resumes, profiles, saved jobs, interview requests or data will be marked as deleted and may be deleted from Careervid. Information may continue to be available for some period of time because of delays in propagating such deletion through our web servers. In addition, third parties may retain saved copies of your Information.

Careervid reserves the right to delete your account and all of your Information after a significant duration of inactivity.
​
Careervid reserves the right to offer third party services and products to you based on the preferences you identify in your registration and at any time thereafter or you have agreed to receive, such offers may be made by Careervid or by third parties. Please see Careervid's Privacy Policy for further details regarding your information.

Additional terms for Employers
​
You understand and acknowledge that you have no ownership rights in your account and if you cancel your account or it is terminated, all your account information, including applications, saved video profiles, resumes, contacts, etc. will be marked as deleted and may be deleted from Careervid's databases. You shall use Careervid in accordance with all applicable privacy and data protection laws.
​
Job ads: Employers are responsible for their job ads on Careervid. A job ad may not contain: Any hyperlinks, other than those specifically authorized by Careervid; the names, logos or trademarks of companies other than your own; more than one job or job description; more than one location, or more than one job category; inaccurate, false, or misleading information; and material or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from anyone under 18. You may not use your Careervid to: Post job ads that do not comply with applicable local, national and international laws, including but not limited to laws relating to labor and employment, equal opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property; post job ads that require citizenship of any particular country or lawful permanent residence in a country as a condition of employment, unless otherwise required in order to comply with law; post job ads that advertise sexual services or seek employees for jobs of a sexual nature; post job ads which require the applicant to provide information relating to their: racial or ethnic origin, political/religious beliefs, physical or mental health (including pregnancy status), sex life, any criminal offences/proceedings, or age (except where allowed by applicable law). Careervid reserves the right to remove any job ad or content, which does not comply with the above Terms, or if content is posted that Careervid believes is not in the best interest of Careervid.

Video & Resume Database: You shall use the Video & Resume Database as provided in these Terms and in any contract you have with Careervid. You shall use the Video & Resume Database in accordance with all applicable privacy and data protection laws, and you agree you shall not further disclose any of the data from Video & Resume Database to any third party. You shall take appropriate physical, technical, and administrative measures to protect the data you have obtained from the Careervid from loss, misuse, unauthorized access, disclosure, alteration or destruction.

Account Suspension & Termination
​
Terminations by You: You may stop using the Service at any time.
​
Terminations by Careervid for Cause: Careervid may terminate your access if (a) you materially or repeatedly breach this Agreement; (b) we are required to do so to comply with a legal requirement or a court order; or (c) we believe there has been conduct that creates (or could create) liability or harm to any user, other third party, Careervid or our Affiliates.
Terminations by Careervid for Service Changes: Careervid may terminate your access if Careervid believes, in its sole discretion, that provision of the Service to you is no longer commercially viable.

Notice for Termination or Suspension: We will notify you with the reason for termination or suspension unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority, or would otherwise risk legal liability for Careervid or our Affiliates; (b) would compromise an investigation or the integrity or operation of the Service; or (c) would cause harm to any user, other third party, Careervid or our Affiliates. Where Careervid is terminating your access for Service changes, where reasonably possible, you will be provided with sufficient time to export your Content from the Service.

About Software in the Service
​
Downloadable Software
When the Service requires or includes downloadable software, you give permission for that software to update automatically on your device once a new version or feature is available, subject to your device settings. Unless that software is governed by additional terms which provide a license, Careervid gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software. You are not allowed to copy, modify, distribute, sell, or lease any part of the software, or to reverse-engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have Careervid’s written permission.
Open Source
Some software used in our Service may be offered under an open source license that we make available to you. There may be provisions in an open source license that expressly override some of these terms, so please be sure to read those licenses.
Warranty Disclaimer
Other than as expressly stated in this agreement or as required by law, the service is provided “as is” and Careervid does not make any specific commitments or warranties about the service.
Limitation of Liability
Except as required by law, Careervid, its affiliates, officers, directors, employees and agents will not be responsible for any loss of profits, revenues, business opportunities, goodwill, or anticipated savings; loss or corruption of data; indirect or consequential loss; punitive damages caused by: errors, mistakes, or inaccuracies on the service; personal injury or property damage resulting from your use of the service; any unauthorized access to or use of the service; any interruption or cessation of the service; any viruses or malicious code transmitted to or through the service by any third party; any content whether submitted by a user or Careervid, including your use of content; and/or the removal or unavailability of any content. This provision applies to any claim, regardless of whether the claim asserted is based on warranty, contract, tort, or any other legal theory. Careervid and its affiliates’ total liability for any claims arising from or relating to the service is limited to $1.

Indemnity
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Careervid, its Affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: your use of and access to the Service; your violation of any term of this Agreement; your violation of any third party right, including without limitation any copyright, property, or privacy right; or any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Service.

Third Party Links
The Service may contain links to third party websites and online services that are not owned or controlled by Careervid. Careervid has no control over, and assumes no responsibility for such websites and online services. We suggest you read the terms and privacy policy of each third-party website and online service that you visit.
About this Agreement
We may modify this Agreement to reflect changes to our Service or for legal, regulatory, or security reasons. Careervid will provide reasonable advance notice of any material modifications to this Agreement and the opportunity to review them, except that modifications addressing newly available features of the Service or modifications made for legal reasons may be effective immediately without notice. Modifications to this Agreement will only apply going forward. If you do not agree to the modified terms, you should remove any Content you have uploaded and discontinue your use of the Service.

If a particular term of this Agreement is not enforceable for any reason, this will not affect any other terms.
If you fail to comply with this Agreement and we do not take immediate action, this does not mean that we are giving up any rights that we may have (such as the right to take action in the future).
​
You and Careervid agree that any cause of action arising out of or related to the services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
Governing Law
All claims arising out of or relating to these terms or the Service will be governed by Massachusetts law, except Massachusetts conflict of laws rules, and will be litigated exclusively in the federal or state courts of Suffolk County, Massachusetts, USA. You and Careervid consent to personal jurisdiction in those courts.
